Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OptiMonetize website, dashboards, and related services (collectively, the "Services"). By using the Services, you agree to these Terms.

1. Eligibility & Accounts

You must be able to form a binding contract and, if you create an account, provide accurate information. You are responsible for safeguarding your credentials and for all activity under your account.

2. Acceptable Use

• No illegal activity, malware, fraud/invalid traffic, or rights violations.
• No reverse engineering, scraping at scale, or interfering with the Services.
• Comply with applicable advertising, privacy, and consumer protection laws.

3. Publisher Obligations

• Maintain your own site policies and consent mechanisms where required.
• Implement tags and placements per integration guidelines and UX guardrails.
• Provide reasonable access for performance, brand‑safety, and fraud checks.

4. Third‑Party Services

The Services may integrate with or link to third‑party partners (e.g., analytics, CDNs, and advertising networks like Adsterra, PopAds, Monetag, and Adcash). Your use of those services is subject to their terms and policies. We are not responsible for third‑party content or practices.

5. Intellectual Property

We (and our licensors) own all rights in the Services, including software, dashboards, and content. You receive a limited, revocable license to use the Services for their intended purpose. Do not remove notices or attempt to claim ownership of any part of the Services.

6. Confidentiality

Non‑public information disclosed between you and us (e.g., performance data, pricing offered in proposals, product roadmaps) is confidential and may only be used for the purposes of our engagement and must not be shared without permission, unless required by law.

7. Privacy

Please review our Privacy Policy for details about how we process information. Where required, you must provide appropriate notices/consent to your end users regarding analytics and advertising technologies.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE SPECIFIC REVENUE, TRAFFIC, OR PERFORMANCE OUTCOMES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES THAT GAVE RISE TO THE CLAIM IN THE 3 MONTHS PRECEDING THE EVENT.

10. Indemnification

You will defend, indemnify, and hold OptiMonetize harmless from claims arising out of your use of the Services, your content, or your breach of these Terms.

11. Suspension & Termination

We may suspend or terminate access if you violate these Terms, create risk, or for scheduled/unscheduled maintenance. You may stop using the Services at any time.

12. Changes to the Services or Terms

We may update the Services and these Terms from time to time. If changes are material, we will provide reasonable notice. Continued use after the effective date constitutes acceptance.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of your contracting entity’s jurisdiction, without regard to conflict of laws. Disputes will be resolved in the courts located in that jurisdiction, unless otherwise agreed in writing.

14. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement for your use of the public site and dashboards.
• Severability: If any provision is unenforceable, the remainder remains in effect.
• Assignment: You may not assign without our consent; we may assign in connection with a merger, acquisition, or sale of assets.
• Notices: We may notify you via the site, dashboards, or email.
